1. Introduction & Acceptance

Welcome to ShopLater! ShopLater is an AI-powered shopping wishlist and price tracking tool designed to help you save, organize, and monitor products you're interested in buying. Whether you're researching a major purchase, comparing prices across stores, or simply keeping track of items you want to remember, ShopLater provides the tools to make smarter shopping decisions.

ShopLater is provided by Reva Labs ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the ShopLater website, applications, and related services (collectively, the "Service"). By accessing or using ShopLater, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you should not access or use the Service.

You must be at least 13 years of age to use ShopLater. If you are between 13 and 18 years old (or the age of majority in your jurisdiction), you should review these Terms with your parent or legal guardian to ensure they understand and agree to them on your behalf. By using the Service, you represent that you meet these eligibility requirements.

2. Account & Eligibility

Certain features of ShopLater require you to create an account. We offer multiple authentication methods for your convenience: you can sign up using your email address (we'll send a one-time verification code to confirm it's yours) or authenticate through your existing Google account. We may add additional authentication methods in the future.

When you create an account with ShopLater, you agree to the following responsibilities:

• Provide accurate, current, and complete information during registration
• Maintain the security and confidentiality of your account credentials
• Not share your account access with others or allow unauthorized use
• Promptly notify us at support@shoplater.ai if you suspect any unauthorized access to or use of your account
• Update your account information as needed to keep it accurate

You are solely responsible for all activities that occur under your account, whether or not you authorized such activities. We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of these Terms.

3. What ShopLater Provides

ShopLater is designed to help you plan, research, and organize your shopping activities. Our Service includes the following core features and functionality:

• Shopping Lists: Create multiple customizable lists to organize items by category, occasion, priority, or any system that works for you
• Product Saving: Add items to your lists by pasting product URLs from supported retailers, or by searching for products directly within ShopLater
• AI-Powered Enrichment: Our artificial intelligence automatically extracts product details, generates concise item names, and helps organize your saved products for easier browsing
• Price Tracking: Monitor prices for products you're interested in and receive notifications when prices drop to help you find the best time to buy
• Multi-Store Search: Search and compare products across multiple retailers including Amazon, Best Buy, Walmart, and other supported stores from a single interface
• List Sharing: Share your lists with friends, family, or others via private shareable links, making it easy to coordinate gift ideas or collaborate on purchases

It's important to understand that ShopLater is a research and planning tool—we do not sell products directly, process payments, or fulfill orders. When you're ready to make a purchase, you'll complete the transaction directly with the respective retailer. We help you find and track products, but the actual buying relationship is between you and the merchant.

4. Your Content & How We Use It

"Your Content" refers to any information, data, or materials you create, upload, or store through ShopLater. This includes the shopping lists you create, custom item names and notes you write, your currency and display preferences, and any other content you contribute to the Service. You retain full ownership of Your Content.

By using ShopLater, you grant us a limited, non-exclusive, royalty-free, worldwide license to use, store, process, reproduce, and display Your Content solely as necessary to provide, maintain, and improve the Service. For example, we need this license to store your lists on our servers, sync them across your devices, display them when you share a list with someone, and back up your data for reliability purposes.

We commit to the following regarding Your Content:

• We will not sell Your Content to third parties for advertising or marketing purposes
• We will not use Your Content to target you with third-party advertisements
• We may use aggregated, anonymized data derived from usage patterns to improve our Service, but this data will not identify you personally

You are responsible for ensuring that Your Content does not violate any applicable laws or infringe on the rights of others. We reserve the right to remove content that violates these Terms or applicable law.

5. AI-Generated Content

ShopLater incorporates artificial intelligence technologies to enhance your experience. Our AI systems help with tasks such as automatically generating concise product names from lengthy retailer titles, organizing and categorizing items intelligently, suggesting descriptions, and improving search relevance. This AI-generated content is created automatically without human review of each individual output.

When using AI-generated features, please understand and acknowledge the following:

• AI-generated content may contain errors, inaccuracies, or omissions and should not be relied upon as the sole source of information for important decisions
• You should independently verify any critical details, especially product specifications, compatibility information, or pricing, before making purchase decisions
• AI suggestions and outputs are provided for convenience and efficiency—they do not constitute professional, financial, or purchasing advice
• AI systems may occasionally produce unexpected or inappropriate results; please report any issues to help us improve

You always have the ability to edit, modify, or override any AI-generated names, descriptions, or suggestions. We encourage you to customize content to best suit your needs and preferences.

6. Third-Party Content, Stores & Links

ShopLater aggregates and displays product information from external retailers and third-party sources, including but not limited to Amazon, Best Buy, Walmart, Target, and other supported merchants. This third-party content includes product names, descriptions, images, pricing information, availability status, and other product details.

Please be aware of the following important limitations regarding third-party content:

• Product data originates from third-party sources and may be updated, changed, or removed by those sources at any time without notice to us
• We do not control, verify, or guarantee the accuracy, completeness, or timeliness of information provided by retailers
• Prices, availability, shipping costs, and promotional offers displayed in ShopLater may differ from current information on the retailer's website
• Product images and descriptions are provided by retailers and may not accurately represent the actual product
• Always verify all details directly on the retailer's website before completing any purchase

When you click on a product link or "buy" button, you will be redirected to the third-party retailer's website. Once you leave ShopLater, you are subject to that retailer's terms of service, privacy policy, and other applicable policies. We are not responsible for the content, practices, or policies of any third-party websites.

Some links within ShopLater may be affiliate links, meaning we may earn a small commission if you make a purchase through those links. This helps support the ongoing development and maintenance of ShopLater at no additional cost to you. Affiliate relationships do not influence how we display or rank products.

7. Price Tracking & Alerts

ShopLater offers price tracking functionality that monitors the prices of products you're interested in and can notify you when prices change. You can set up price alerts to receive email notifications when a product's price drops below a certain threshold or changes significantly.

Please understand the following about our price tracking features:

• Price tracking is provided on a best-effort basis—we cannot guarantee that we will detect every price change, especially flash sales, limited-time offers, or rapid price fluctuations
• Prices displayed in ShopLater are for informational and reference purposes only; actual prices at checkout may differ due to taxes, shipping, promotions, or real-time changes
• Email alerts depend on various factors including email delivery systems, your email provider's spam filters, and network conditions—we cannot guarantee delivery timing or that all alerts will reach your inbox
• Price tracking frequency and coverage may vary by retailer and product category
• Historical price data is provided for reference but may not capture every price point or be available for all products
• Price tracking is not financial or investment advice—all purchase decisions are solely your responsibility

By enabling price alerts, you consent to receive email notifications from ShopLater regarding price changes for your tracked products. You can manage your notification preferences or unsubscribe from alerts at any time through your account settings or by using the unsubscribe link in any alert email.

8. Acceptable Use

ShopLater is intended for personal, non-commercial use by individual consumers. By using the Service, you agree to use it only for lawful purposes and in accordance with these Terms.

You agree not to engage in any of the following prohibited activities:

• Using automated scripts, bots, scrapers, or other automated means to access, collect data from, or interact with ShopLater without our express written permission
• Attempting to probe, scan, test, or breach the security or authentication measures of our systems, or attempting to gain unauthorized access to our servers, databases, or infrastructure
• Reverse-engineering, decompiling, disassembling, or otherwise attempting to derive the source code or underlying algorithms of the Service
• Using ShopLater for any illegal purpose or in violation of any applicable local, state, national, or international law or regulation
• Uploading, posting, or transmitting content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
• Infringing on the intellectual property rights, privacy rights, or other rights of any third party
• Using shared list features to spam, harass, or send unsolicited communications to other users
• Reselling, sublicensing, or commercially exploiting ShopLater or any data obtained through the Service without our prior written consent
• Interfering with or disrupting the integrity or performance of the Service or the data contained therein

We reserve the right to investigate suspected violations of these Terms and to take appropriate action, including suspending or terminating your account, reporting illegal activities to law enforcement authorities, and pursuing any available legal remedies.

9. Intellectual Property

ShopLater and its entire contents, features, and functionality— including but not limited to the software, code, design, text, graphics, logos, icons, images, audio clips, user interface, and the selection and arrangement thereof—are owned by Reva Labs, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use ShopLater for your personal, non-commercial purposes in accordance with these Terms. This license does not include the right to copy, modify, distribute, sell, lease, or create derivative works based on ShopLater or any of its content without our express written permission.

Product images, names, descriptions, trademarks, and other content displayed within ShopLater that originate from third-party retailers remain the property of their respective owners. Our display of such content does not grant you any rights to use it outside of the Service.

If you provide us with feedback, suggestions, ideas, or recommendations regarding ShopLater or its features ("Feedback"), you grant us an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free right to use such Feedback in any manner and for any purpose, including to improve the Service and create new features, without any obligation or compensation to you.

10. Privacy & Data

Your privacy is important to us. We collect and process personal information as necessary to provide and improve ShopLater. The types of information we collect include:

• Account Information: Your email address and authentication credentials used to create and access your account
• User Content: The shopping lists, items, notes, and preferences you create and store within ShopLater

• Technical Information: Device type, browser type, operating system, IP address, and similar technical data necessary for the Service to function properly

11. Service Availability & Changes

You acknowledge and agree that:

• The Service may experience downtime, interruptions, or performance issues due to maintenance, updates, technical difficulties, or factors beyond our control
• We do not guarantee any specific level of uptime, availability, or performance
• Features may contain bugs, errors, or behave unexpectedly, particularly experimental or beta features
• Data synchronization may occasionally be delayed or incomplete

We reserve the right to modify, update, suspend, or discontinue any aspect of ShopLater at any time, with or without notice. This includes adding new features, changing existing functionality, removing features that are no longer viable, or discontinuing the Service entirely. Some features may be labeled as "beta," "experimental," or similar designations, indicating they are still in development and may change significantly or be removed.

We will make reasonable efforts to provide advance notice of significant changes that materially affect your use of the Service, but we are not obligated to do so in all circumstances.

12. Disclaimers & Limitation of Liability

ShopLater is a shopping research and planning tool provided for informational purposes. We are not a retailer, marketplace, financial advisor, or purchasing agent. All purchase decisions are made solely by you, and you bear full responsibility for those decisions.

To the fullest extent permitted by applicable law, ShopLater and Reva Labs expressly disclaim all warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We are not responsible or liable for:

• Your purchase decisions, their outcomes, or any dissatisfaction with products you buy
• Inaccurate, incomplete, or outdated product information provided by third-party retailers
• Missed price alerts, price tracking errors, or failure to detect price changes
• Any issues, disputes, or problems with retailers or products you purchase through links in ShopLater
• AI-generated content that is incorrect, incomplete, misleading, or inappropriate
• Loss of data, unauthorized access to your account, or security breaches beyond our reasonable control
• Any third-party websites, services, or content linked from ShopLater

To the maximum extent permitted by applicable law, in no event shall ShopLater, Reva Labs, or our directors, officers, employees, agents, partners, or licensors be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or in connection with your use of or inability to use the Service.

Our total aggregate liability for any claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid us, if any, in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100 USD).

13. Account Suspension & Termination

You may stop using ShopLater at any time. If you wish to delete your account and associated data, you can do so through your account settings or by contacting us at support@shoplater.ai. We will process account deletion requests in accordance with our data retention policies and applicable law.

We reserve the right to suspend, restrict, or terminate your access to ShopLater, with or without notice, if we reasonably believe that you have:

• Violated any provision of these Terms of Service
• Engaged in conduct that is illegal, fraudulent, harmful, or abusive
• Abused the Service or negatively impacted other users' experience
• Created risk or possible legal exposure for Reva Labs

Upon termination of your account, your right to access and use ShopLater will immediately cease. You may lose access to your lists, saved items, preferences, and any other data associated with your account. We are not obligated to provide you with a copy of your data upon termination, though we may do so at our discretion.

We may retain certain information after account termination as required by law, for legitimate business purposes (such as resolving disputes or enforcing our agreements), or as part of our standard backup procedures.

14. Changes to These Terms

We may revise and update these Terms of Service from time to time at our sole discretion. Changes may be made to reflect new features, changes in law, or for other operational or legal reasons.

When we make changes to these Terms, we will notify you through one or more of the following methods:

• Updating the "Last updated" date at the top of this page
• Sending an email notification to the address associated with your account (for material changes that significantly affect your rights or obligations)
• Displaying a prominent notice within the ShopLater application

16. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Reva Labs regarding your use of ShopLater and supersede all prior agreements, understandings, and communications.

Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Reva Labs.

Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Reva Labs is incorporated, without regard to its conflict of law principles.
